Terms.

These terms govern your use of Serpa. By signing up you agree to them. If you don't, don't sign up.
1. The service.
Serpa is an SEO and content-marketing agent for B2B SaaS. We plan, write, publish, and monitor SEO content on your behalf, with you reviewing and approving the work. Specific capabilities, integrations, and limits are described on the marketing site and inside the product.
2. Your account.
- You are responsible for the accuracy of the information on your account (company URL, billing email, integration credentials).
- Keep your credentials confidential. Notify us promptly if you suspect unauthorised access.
- One account per company unless we agree in writing otherwise.
3. Subscription, billing, refunds.
Serpa is a paid subscription. You pay monthly or annually in advance. Prices and tiers are shown on the access page at sign-up.
- Auto-renew. Subscriptions renew at the end of each billing cycle until you cancel.
- Cancellation. Cancel anytime from your account. Your subscription stays active through the end of the paid period.
- 30-day "first ranking" guarantee. If Serpa hasn't produced a measurable first ranking movement by day 30 of your first month, email us within 7 days of that deadline and we'll refund your first month in full. Applies once per customer.
- Founding member price lock. Members of the ten-customer founding cohort keep their sign-up plan price for as long as their subscription stays active. Documented in detail on /founding-members.
- Taxes. Prices are exclusive of tax. Where required by law we collect and remit the applicable VAT / sales tax.
4. Your content; AI-generated content.
You own the briefs, articles, and other content you create through Serpa ("your content"). You grant us a non- exclusive licence to host, process, and display your content as needed to run the service.
Serpa-produced articles are AI-assisted: a large-language model drafts the article based on your brief, your voice samples, and SERP research; you review and approve before publication. The model's output can contain factual errors or hallucinations. Review every article before approving it. You are responsible for what gets published on your domain.
5. Acceptable use.
You agree not to use Serpa to:
- Generate content that infringes copyright, defames a real person, or impersonates a real person or organisation.
- Publish content that violates the spam policies of the target CMS or the SEO guidelines of the major search engines.
- Attempt to reverse-engineer, scrape at scale, or probe the service for vulnerabilities outside an authorised bug-bounty arrangement.
- Use the service for content categories we explicitly don't support (adult, gambling, weapons, controlled substances).
We may suspend or terminate accounts that violate these rules. We'll typically warn first, but reserve the right to act immediately when the violation is severe or ongoing.
6. Integrations.
Connecting third-party services (Google Search Console, WordPress, Contentful, Webflow, etc.) is at your discretion. Those services have their own terms; we are not responsible for their availability, accuracy, or behaviour beyond what their published APIs allow us to read or write.
7. Service availability and changes.
We aim for high availability but do not guarantee uptime. Scheduled maintenance and unplanned outages happen. We may add, remove, or change features over time. Material changes that reduce capability for a paid tier will be emailed in advance.
8. Warranties and limitation of liability.
The service is provided "as is" without express or implied warranties beyond those required by law in your jurisdiction. To the maximum extent permitted by law, our aggregate liability for any claim arising out of or related to the service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
9. Indemnification.
You agree to indemnify and hold harmless Serpa, its officers, directors, employees, and agents from claims arising out of (a) your content, (b) your violation of these terms, or (c) your violation of any third-party right.
10. Governing law.
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Disputes shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
11. Changes to these terms.
If we materially change these terms we'll email you and bump the "Last updated" date at the top. Continued use of the service after the change constitutes acceptance of the new terms.
